Definitions

 

The term 'Memorii Journeys' or 'us' or 'we' shall refer to:

Memorii Journeys LLC, all its subsidiaries, and/or affiliates. The term 'you' or 'user' or 'contact' or 'visitor' or 'customer' shall refer to the user or viewer of our website, or any customer or other contact interacting in any way with Memorii Journeys.

The term “Third Parties” shall refer to any external individuals or entities that provide services, products, or support in connection with the agreement or contract we are entering into or have entered into with you.

 

This includes, but is not limited to: yacht owners, yacht crews, shipyards, fleet operators, charter brokers, yacht sales brokers, as well as owners and managers of private homes and villas, property hosts, concierge teams, transportation providers (including private transfers, chauffeurs, and aviation services), experience providers (such as tour guides, wellness instructors, cultural facilitators, and adventure outfitters), event planners, entertainment vendors, décor and staging professionals, and any suppliers engaged in curating, facilitating, or delivering your travel or event experience.

It also includes professional service providers such as lawyers, bankers, auditors, and insurers, along with providers of technology services (e.g., website hosting, CRMs, booking platforms), administrative support, marketing services, affiliate partners, and any independent contractors or representatives acting on behalf of Memorii Journeys. These Third Parties may support the delivery, promotion, execution, or administration of our offerings and services.

Additionally, this includes other companies that provide IT, system administration, and data analytics services acting as joint controllers or processors, who may be based outside the European Economic Area (EEA), as well as tax, customs, port, or other authorities acting as processors or joint controllers.

1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your use of Memorii’s services, including access to our website, booking of travel services, and participation in marketing communications. By engaging with Memorii, you agree to be bound by these Terms.


2. DATA COLLECTION AND MARKETING COMMUNICATIONS

  • When you provide your email address on our website or through social media, you consent to receive promotional emails, newsletters, and marketing communications from Memorii.

  • You may unsubscribe at any time using the “unsubscribe” link in any of our emails or by contacting us directly.

  • Memorii does not sell or rent your personal information. Your information is only shared with trusted marketing, supply, and distribution partners to fulfill contractual obligations. Where applicable, you may opt out of data sharing.

3. BOOKINGS

  • All bookings are subject to availability and are not confirmed until written confirmation is provided by Memorii.

  • Prices are quoted in the designated currency and are subject to change based on supplier terms, exchange rate fluctuations, and applicable taxes.

  • Clients are responsible for all foreign exchange (FX) fees, bank transfer fees, and credit card processing fees.

  • A non-refundable deposit is typically required to secure a booking. The amount will vary by product and supplier.

4. PAYMENTS

  • Full payment deadlines will be communicated at the time of booking.

  • Failure to meet payment deadlines may result in booking cancellation and forfeiture of deposits paid.

  • Payment methods accepted will be specified in the client’s invoice and may include wire transfer, credit/debit card, or other secure channels.

5. CANCELLATIONS AND CHANGES

  • Cancellation policies vary by supplier and will be outlined in your booking documents.

  • Memorii will advocate on behalf of the client to obtain refunds or credits where possible; however, refunds are not guaranteed.

  • Clients may request changes to their bookings, and Memorii will make reasonable efforts to accommodate such requests. A non-refundable administrative fee may apply.

  • Rescheduling or altering travel dates is subject to supplier availability and change fees.

6. TRAVEL INSURANCE AND LIABILITY

  • Memorii strongly recommends that all travelers purchase comprehensive travel insurance, including coverage for cancellation, medical expenses, baggage loss, and personal liability.

  • Memorii holds Errors and Omissions insurance but shall not be held liable for loss, delay, injury, illness, death, damage, or expense arising from travel arrangements.

  • All claims must be filed directly with the traveler’s own insurance provider.

7. SUPPLIERS AND THIRD PARTIES

  • Memorii acts as an intermediary and does not operate the accommodations, yachts, or experiences directly.

  • Your contract for travel services is with the relevant supplier. Memorii is not responsible for the acts, omissions, or performance of any third party.

8. TRAVELER RESPONSIBILITIES

  • It is the responsibility of the traveler to ensure they have valid travel documents, including passports, visas, and vaccinations.

  • Travelers are responsible for compliance with all local laws, health regulations, customs, and immigration requirements.

  • Travelers must provide accurate and timely information to facilitate the booking and fulfillment process.

9. ERRORS AND OMISSIONS

  • Memorii strives for accuracy in all published materials and correspondence. However, we are not responsible for typographical errors, outdated pricing, or supplier changes beyond our control.

  • We reserve the right to correct pricing or availability errors at any time and will notify clients of any significant changes.

10. FORCE MAJEURE

  • Memorii shall not be held liable for delays or failure to perform due to acts of God, natural disasters, pandemics, government actions, labor disputes, or other events beyond our control.

  • In such cases, Memorii will work with suppliers to reschedule or issue credits where possible, but refunds are not guaranteed.

11. GOVERNING LAW

  • These Terms shall be governed by the laws of the State of Delaware, United States.

  • Any legal disputes shall be resolved in a court of competent jurisdiction within the State of Delaware.

12. CHANGES TO THESE TERMS

  • Memorii reserves the right to update or revise these Terms at any time. The most current version will always be available on our website.
